Welcome to Prymic, a premier gym management software and hardware automation system developed and maintained by Kodfec. By accessing or using our services, software, and hardware (collectively, the "Platform"), you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By registering for an account, installing Prymic hardware, or otherwise using the Platform, you agree to these Terms. If you do not agree to these terms, you may not use the Platform.

2. Intellectual Property Rights

Proprietary Rights

Kodfec retains all right, title, and interest in and to the Prymic Platform, including all related intellectual property rights, software code, algorithms, AI models, hardware designs, and documentation. Your use of the Platform grants you no ownership rights. You are granted a limited, non-exclusive, non-transferable license to use the Platform strictly for managing your gym facilities in accordance with these Terms.

You may not reverse-engineer, decompile, disassemble, or attempt to derive the source code or hardware schematics of any part of the Platform.

3. Service Availability and Best-Effort Delivery

We strive to provide highly reliable services. However, Kodfec does not guarantee that the Platform will be uninterrupted or error-free. The Platform is provided on a "best-effort" basis.

Hardware & Network Dependencies: The operation of physical turnstiles, biometric scanners, and localized access systems heavily depends on your local internet connection, power supply, and network configuration.
Maintenance: Kodfec reserves the right to briefly suspend services for scheduled maintenance or emergency updates.

4. Limitation of Liability

Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall Kodfec, Prymic, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

Loss of profits, revenue, or business opportunities.
Loss of data, gym member records, or financial information.
Operational disruptions resulting from turnstile gate failures, biometric reader inaccuracies, or software bugs.
Issues arising from internet outages, third-party payment gateway failures, or electrical disruptions at your facility.

In no event shall Kodfec's aggregate liability exceed the total amount paid by you for the Prymic service during the three (3) months immediately preceding the claim.

5. Data Rights for AI and Analytics

While you retain ownership of your specific gym member data, by using Prymic, you grant Kodfec a perpetual, worldwide, royalty-free license to use aggregated and anonymized data generated through your use of the Platform. Kodfec utilizes this data to:

Train, fine-tune, and improve the Prymic AI ecosystem.
Analyze industry trends and system performance metrics.
Develop new features, hardware products, or software enhancements.

Under no circumstances will this aggregated data expose personally identifiable information (PII) of your members to the public or third-party marketers.

6. Termination and Suspension

Kodfec reserves the right, in its sole discretion, to suspend or terminate your access to the Platform at any time, with or without notice, if you:

Fail to pay subscription fees or hardware installments on time.
Violate these Terms of Service or misuse the Platform.
Engage in abusive, fraudulent, or illegal behavior.

Upon termination, your right to use the software will immediately cease, and you must return any leased hardware as stipulated in your specific contract.

7. Indemnification

You agree to indemnify, defend, and hold harmless Kodfec and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your gym members' use of the facilities, or your violation of these Terms.

8. Changes to Terms

Kodfec reserves the right to modify these Terms at any time. We will notify you of any significant changes by posting the new Terms on our website or through the Prymic dashboard. Continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.
